The Sale Group had approximate net liabilities of USD$7.5 million as of December 31, 2015. In consideration for Mr. Li assuming these net liabilities, UGE USA issued to the Sale Group (i) a promissory note in the amount of USD$1 million, representing the transfer of the solar net assets thereto, and (ii) a promissory note in the amount of USD$2.6 million, representing the assumption of the net liabilities of the Sale Group by Mr. Li. Each promissory note will accrue interest at a rate of 6.5% per annum and will mature five years from the date of issue.
